Terms and Conditions of Data Scraping Services

1. Definition of Services

Total Data Services (“the Company”) agrees to furnish data scraping services (“the Services”) to the Customer, subject to the following terms and conditions. Our Services encompass the systematic extraction, collection, and analysis of publicly accessible online data, based on the Customer’s specifications.

2. Customer Obligations

The Customer shall ensure that all data requested for scraping is publicly available and does not infringe upon third-party intellectual property rights, privacy rights, or any applicable local, state, national, and international regulations.

3. Compliance with Law

Both the Company and Customer shall ensure full compliance with the Data Protection Act 2018, General Data Protection Regulation (GDPR), and any other relevant data protection and privacy laws while providing and utilizing the Services, respectively.

4. Limitation of Use

Customer agrees to use the data provided by Total Data Services strictly for lawful purposes and shall not distribute, share, or sell the data to any third-party without prior written consent from the Company.

5. Payment

Payments for Services shall be made as per the agreed-upon pricing and payment terms stated in the specific Service Agreement entered between Total Data Services and the Customer. All payments are to be made in GBP (British Pounds Sterling).

6. Termination

Either party may terminate the agreement by providing a written notice 30 days prior to the intended date of termination. Unpaid invoices and payment for work completed up to the point of termination shall be due in full upon termination.

7. Confidentiality

Both parties shall maintain the confidentiality of all information obtained during the provision and receipt of Services, and such confidentiality shall persist for a duration of 3 years following the termination of Services, unless otherwise agreed upon.

8. Liability

Total Data Services shall not be held liable for any consequential, indirect, or special damages arising from the use of the data provided. The Company’s total liability for any claim arising out of or relating to the Services shall not exceed the amount paid by the Customer for such Services.

9. Indemnification

The Customer shall indemnify and hold harmless Total Data Services, its employees, and subcontractors against any claims, damages, or legal expenses arising out of the Customer’s misuse of the data provided.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond its reasonable control, including but not limited to, acts of God, natural disasters, war, or government actions.

11. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or relating to the Services shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

12. Modifications

Total Data Services reserves the right to update or modify these Terms and Conditions at any time without prior notice. The Customer’s use of the Services following any such change constitutes agreement to follow and be bound by the Terms and Conditions as changed.
